Legal forms in which foreign entrepreneurs can run business activity within the territory of Switzerland
At the beginning it must be stated that contrary to other offers to set up an offshore company that The Law Firm Sadkowski and Partners offers, the offer to set up a company in the territory of The Swiss Confederation is connected with relatively higher costs.
The above results from the fact, that setting up a joint-stock company [Aktiengesellschaft – AG] in Switzerland is connected with expenses on account of initial capital in the amount of at least 100.000 CHF. In case of a limited liability company (Gesellschaft mit beschränkter Haftung – GmbH), the amount of initial capital is at least 20.000 CHF. The above expenses must be increased by taxes, administrative fees and costs of legal services.
Despite high costs of setting up a capital company in the territory of The Swiss Confederation, they attain more popularity with Polish entrepreneurs, who more and more frequently consider the possibility of setting up in Switzerland one of the two types of capital companies, i.e. a joint-stock company [AG] or a limited liability company [GmbH].
It is also worth mentioning that apart from the joint-stock company [AG] and the limited liability company [GmbH], federal legislature allows setting up in Switzerland branches of foreign enterprises and creating companies not possessing legal personality, which are subject to entry in the National Court Register.
